These Terms of Use (including any paragraphs, statements, parts, and attachments of these Terms of Use) (hereinafter referred to as the “ToS” or the “Terms of Use”) set the conditions for the use of this software.

This software (including any of its parts, modules, and sub-modules) is a software application (hereinafter referred to as the “Application”) designed for the automatic online Crypto trading market in real-time. It evaluates short-term market deviations based on its own trading strategy, risk management algorithms, and automatically opens, manages, and closes buy and sell trades in real-time on a trading account within which this software Application is launched and logged in (hereinafter referred to as the “Account”).

The distributor, promoter and provider of the Application is a limited liability company, UAB AIS LAB(306246684) with a registered address at Rinktinės st. Vilnius, Lithuania referred to as “xHive”.

These Terms of Use constitute a legally binding agreement between You, the user of the Application, and the xHive. These Terms of Use are the sole terms governing Your use of the Application and are made exclusively between You and the xHive. Any other programmers, authors, creators, contractors, subcontractors, propagators, distributors, freelancers, partners, affiliate partners, and any other parties involved in the creation, dissemination, or maintenance of the Application (collectively referred to as “xHive’s Subcontractors”) are not responsible for the Application and have no relationship with You as the user in the context of this Application or Your use of it.

The Account is not an account of the Application or the xHive. It does not belong to the Application or the xHive, it is not a property of the Application or the xHive, and it is not provided to You, operated, or maintained by the Application or the xHive. Neither the Application nor the xHive receives, holds, or stores Your trading funds. Your trading funds are stored in Your private trading account (the Account) with a third-party service provider (the Broker) that provides, operates, and maintains the Account and its funds and offers You trading services within the Account.

The Application does not contain functions to initiate withdrawals from the Account to any other accounts or third parties.

The Application is a software product, an automated system for real-time data analysis and evaluation, as well as for the automatic execution of pre-programmed tasks. Under no circumstances should the use of the Application be interpreted as the provision of investment or advisory services, or asset management services.

The Application is highly speculative, operates in a highly speculative and risky environment, and comes with a high risk of substantial financial losses and other damages. The use of the Application is at Your own risk.

1. PROVISIONS
   1. You are authorized to use the Application only if you fully read, understand and accept these Terms of Use in its full content, and you fully understand, accept and agree with all paragraphs and statements and provisions of these Terms of Use in its full content.
   2. In case you do not read or understand or accept or agree with these Terms of Use (and/or with any paragraph(s) and/or statement(s) and/or part(s) and/or provision(s) of these Terms of Use), then you are NOT authorized to use the Application and such usage is strictly forbidden and using the Application in conflict with this statement will be considered illegal.
   3. Using the Application in conflict with these Terms of Use (and/or in violation of any paragraph(s) and/or statement(s) and/or part(s) of these Terms of Use) is NOT authorized and it is strictly forbidden and considered illegal.
   4. In case, if any condition(s) from paragraph 1.1 and/or paragraph 1.2 and/or paragraph 1.3 of this ToS is met, or, in case of a breach of any term(s) of these Terms of Use, you are obligated to terminate and deactivate the Application and to stop using the Application immediately.
   5. You are authorized to use the Application only with such trading Account(s) that legally belong to you and which are your private personal property.
   6. You are authorized to use the Application only with such financial funds that legally belong to you and which are your private personal property.
   7. You are authorized to use the Application only with such login credentials that belong to your private personal trading Account(s) and which are your private personal property.
   8. You are authorized to use the Application only with such login credentials that are not disclosed and/or known to any other third party (including but not limited to any other software application and/or person and/or entity and/or source) other than the Application.
   9. You are authorized to use the Application only under your direct and uninterrupted surveillance and your direct control and access to the Application during the whole time when the Application is online and active. You agree and you are obligated to be always able and available to access the Application when the Application is online and active. You agree and you are obligated to be able and available to regulate the Application and/or to switch off the Application (incl. pausing or deactivating the Application) in case of (but not limited to) any emergency situation(s) during the entire time when the Application is online and active. If you expect to be offline and/or without internet connection and/or without proper access to the Application, you are obligated to pause and stop the Application and to not use the Application as long as you do not have an option to regulate and control the Application and its activities and pause and stop the Application in a case of an emergency.
   10. You are NOT authorized to use the Application in case you do not fully understand the principles of crypto currencies trading and/or trading with margin (leverage) and/or trading with fully automated trading software and/or trading with this Application and/or you do not fully understand the risks associated with such activities and/or you do not fully accept the risks associated with using this Application at your own costs.
   11. You are NOT authorized to use and/or distribute the Application if such usage and/or distribution of the Application would mean a breach of your domestic laws and/or a violation of any regulation(s) and/or law(s) set by any authority in your jurisdiction.
   12. You acknowledge, accept and agree that any information and/or trading signal and/or trading instruction and/or trade generated and/or provided and/or distributed by the Application is opinion only and does not constitute investment advice.
   13. You are authorized to use the Application only if you acknowledge that the Application is not providing financial or investment advice and what you do with the opinions and/or trading signals and/or any kind of outputs provided by the Application is your decision, and, you are solely and fully responsible for all trades and investments and its arising consequences when using the Application.
   14. You are only authorized to use this Application if you acknowledge and agree that the xHive (and the xHive’s Subcontractors) do not provide any financial or investment services or investment or any other advice to you, and you will not interpret the use of the Application in any context or under any circumstances as the provision of financial or investment services or the provision of asset management services.
   15. Using the Application for trading on a Live Account is your decision, and you take full responsibility for this decision. Using the Application on a Live trading Account will have a real and irreversible financial impact (positive and/or negative) on the account balance of the Live trading Account, and it may lead to the loss of your entire trading capital.
   16. The Application, including its algorithms, functionalities, provision, and distribution, is not licensed, audited, regulated, or supervised by any independent third party or financial authority. In certain jurisdictions, the use of the Application may be restricted, regulated, or require special permits, registrations, or licenses. You are solely responsible for ensuring compliance with the regulations of your country of residence, and you bear full responsibility for any consequences arising from the use of the Application, including any negative impacts resulting from regulatory non-compliance or the use of the Application.
   17. You bear full sole responsibility for all possible negative impacts and consequences (incl. but not limited to financial and legal impacts and consequences) caused directly or indirectly by using the Application.
   18. You are NOT authorized to use the Application if you are currently, or have previously been, employed by any governmental institution, government body, entity, or organization, or, if you have been in the past or currently are a PEP (politically exposed person) at the time of using the Application.
   19. You are NOT authorized to use the Application if you are less than 18 years old.
   20. Failure to comply with any of the provisions set forth in section 1.Provisions shall be deemed an unauthorized use of copyrighted material and an unlawful exploitation of intellectual property, punishable by law, and rendering the offender liable to legal consequences.
2. The Application
   1. The Application has access to a trading Account through login credentials (API-Key, Secret, Account Number) that you provide to the Application when starting the Application (hereinafter the “Login Credentials”).
   2. It is strictly forbidden to use the Login Credentials in violation of paragraph 1.5 and/or 1.6 and/or 1.7 and/or 1.8 of this ToS.
   3. The Application may save the Login Credentials to the physical local hard drive of the device where the Application is used and then automatically offer the saved Login Credentials when the Application is launched again.
   4. The Application connects to the trading account (the “Account”) and its data, that is specified by the specific Account Number (a part of the Login Credentials) when starting the Application.
   5. The Application connects to a live market data-feed and analyzes the real-time situation on the markets based on its own trading strategy and algorithms for the purpose of finding potentially profitable trading opportunities and/or for the purpose of waiting for such potentially profitable trading opportunities.
   6. The Application sends trading instructions (executes commands BUY and/or SELL) to the Account and executes real trades on the Account. The Application can open and/or modify and/or close a trade(s) on the Account using any trading amount (with margin/leverage) and any trade direction (BUY and/or SELL) based on the inner trading strategy and decisions and risk-management and algorithms implemented in the Application.
   7. The Application can open and/or modify and/or close one or more trades on the Account and/or several trades for the purpose of trading on the Account according to the inner trading strategy, decisions, risk-management and algorithms (as described in paragraph 2.6 of this ToS)
   8. Opening and management of all trades and their life-cycle and risk-management is controlled by the inner trading strategy, risk-management and algorithms of the Application.
   9. Trades made by the Application have real, irreversible, non-changeable and non-refundable final impact on the Account, and they irreversibly change (negatively or positively) the account balance of the Account. Trades made by the Application can not be reverted or modified or financially refunded by any means and/or by any party and all closed trades are final (including their respective trading profits and/or losses).
   10. The Application makes its trading decisions and calculations locally on the device where the Application is launched (e.g., a cloud server). The trading strategy and the trading logic is implemented inside of codes of the Application on the device within which the Application is launched (e.g., a cloud server).
   11. Anytime you can pause or deactivate (hereinafter “switch off”) the Application by terminating it on the device(s) within which the Application is launched or by doing so within the menu of the Application. Once when the Application is fully terminated (pause or deactivated), then the trades previously opened (and not closed yet) before terminating (or interrupting) the Application are not automatically closed, and you are obligated to maintain and mange such trades and manually, and close them if necessary. Such trades are not supervised and/or maintained and/or managed by the Application anymore once when the Application is terminated.
   12. When using the Application you accept and you agree to take full responsibility for all consequences arising from using the Application, including (but not limited to) full responsibility for any potential technical risks, technical failures and/or damages, financial damages of any character, including (but not limited to) all direct and indirect financial losses and all direct and indirect resulting trading losses.
   13. By using the Application, you acknowledge and accept that any risks associated with its use are solely your responsibility. Accordingly, you hereby waive all rights and claims to seek any form of compensation, refund, or accountability from any party involved in the creation, promotion, distribution or provision of the Application (including but not limited to the xHive and xHive’s Subcontractors) for any financial damages or losses, whether direct or indirect, arising from your use of the Application or any of its components, modules, or submodules.
   14. Using the Application can not guarantee future profits and there always exists a significantly high risk of losing all financial funds when using the Application. When using the Application you agree the trading results, profits and losses and all arising consequences, are at your own risk and at your own costs.
   15. If you choose to manually modify or close any trades that were previously initiated by the Application, you acknowledge and accept that doing so may disrupt the Application’s internal trading strategy and risk management, potentially leading to unpredictable and unstable outcomes. The Application is not designed to accommodate such manual interventions.
   16. The internal trading algorithm of the Application, responsible for determining the execution of BUY and/or SELL trades for specific instruments, may undergo changes, updates, upgrades, enhancements, or alterations at any time without prior notice. These changes may significantly impact the functionality and behavior of the Application, potentially resulting in various outcomes, including a notable negative effect on the Application’s stability and performance. This may lead to unforeseen losses, unstable behavior, and an increased risk.
   17. These alterations, updates, enhancements, or modifications (as mentioned in section 2.16 of ToU) could also affect the activities outlined in sections 2.5, 2.6, 2.7, and 2.8 of the Application. These changes may contain unforeseen bugs and errors that were previously unidentified, undisclosed, or undiscovered before their deployment or release. Such changes could lead to unanticipated errors, malfunctions, mistakes, and significant trading losses.

3. PRIVACY AND SECURITY
   1. Login credentials are saved locally in a properties text file or a database, either on the local physical hard drive of the device where the Application is launched and/or used, or on a remote database server.
   2. Due to security reasons, you are authorized to use only such API-Keys that have permissions to only see the Account and perform trading on the Account. You are NOT authorized to use API-Keys that have a permission to submit and/or sign and/or cancel a transfer (and/or a withdrawal) on any account(s).
   3. When using the Login Credentials with the Application, you are obligated to keep the Login Credentials for your personal use only. You are not authorized to reveal and/or share the Login Credentials with any third party(ies) (including but not limited to, any other software application or similar trading robots) other than the Application itself and the scenarios described in this ToU.
   4. The Application sends to xHive’s remote servers sensitive details of trades made by the Application on the Account. This includes (but it is not limited to) trade UID, trade open price, close price, amount, profit/loss etc. This allows the Application to exactly calculate the Price for using the Application (see article 7.PRICING of ToU).
   5. You are solely responsible for protecting your login credentials (such as your login and API-Keys and Secrets) and ensure proper security of your trading Account and your trading funds.
   6. You agree not to hold the xHive (nor the Application itself, nor the xHive’s Subcontractors) liable for any security breach, hack of your Application instance or your Account, loss of funds, any other similar security incidents, or any misuse of your login credentials.
4. RISK WARNING
   1. Online trading in any markets (incl. but not limited to Crypto currencies, Stocks, Forex, CFD, etc.) is highly speculative, and it always comes with a high risk of losing all of your financial funds rapidly due to (but not limited to) high leverage. Such trading and the Application is not suitable for all investors. The Application is complex and speculative, and under no circumstances should you risk more than you are prepared to lose. You should consider whether you understand how such trading and the Application works and whether you can afford to take the high risk of losing of all of your invested financial funds. Seek independent advice if necessary. In case you do not understand properly the principles of such trading and/or the principles of the Application and/or the high risk that is associated with the Application, then you are NOT authorized to use the Application.
   2. When using the Application, you may encounter numerous unpredictable and/or unexpected events that can significantly impact your trading results, including potential profits and/or losses. These events may include, but are not limited to, software errors, bugs, or mistakes (whether in the Application or otherwise), market volatility, reduced market liquidity, accidents, power outages, operational disruptions, internet connection failures, a series of losing trades, or failures in the Application or other software or hardware. These factors, many of which are beyond your control, could lead to substantial losses, potentially including the total loss of your trading capital. By using the Application, you n expense and liability. If you do not accept these risks, you are NOT authorized to use the Application.
   3. Given the speculative and unpredictable nature of the Application, along with the potential for unforeseen events, flaws, or errors that could result in a loss of trading capital, you are strongly advised to monitor the Application in real time. If you anticipate any difficulty in continuously overseeing the Application and its associated account, or if you may be unable to intervene promptly when issues arise, it is recommended that you pause the Application. Resume its use only when you can actively monitor its performance and intervene as necessary. Failure to monitor the Application, allowing it to trade automatically on auto-pilot without supervision, may lead to significant losses, including the potential loss of your entire trading capital.
   4. Using the Application on different trading accounts may result in different performance and may cause different profitability and different losses. Algorithmic trading involves many variables and unpredictable factors, and while using the Application on one trading account may result in profits, the same Application on another account may result in losses. There exist a high risk of many unpredictable factors and even the smallest details may lead to very different results and output and overall behaviour of the Application when used on different trading accounts within the same enviroment and/or within the same conditions.
   5. The performance, behavior, results, and success ratio of the Application are highly unpredictable and speculative, with no guarantees whatsoever. When using the Application, there is a very real risk of significant financial losses, including the high risk of losing your entire trading capital.
   6. Past profits are no guarantee of future profits. Any profitable trading strategy (including the Application) can cause significant losses of your financial funds. The Application comes with no guarantee whatsoever. There exists no guarantee of profits and there exists no guarantee of the elimination of any risks when using the Application.
   7. The Application may receive automatic remote updates and/or upgrades and/or other similar modifications without prior notice. These updates may result in unexpected errors and bugs that were not previously identified or experienced. Such issues may significantly impact the performance of the trading algorithms, risk-management algorithms, overall functionality, stability, and profitability of the Application. Additionally, new updates and changes of the Application may bring about drastic alterations in the way the Application works, behaves, and trades, potentially resulting in unexpected significant losses and adverse trading outcomes that were not previously characteristic of the Application.
   8. By using the Application, you hereby waive all rights and claims to seek compensation, whether in whole or in part, for any damages arising from or associated with your use of the Application. This waiver applies to the xHive and to all parties involved in the creation, distribution, promotion, propagation, or provision of the Application, including but not limited to xHive’s Subcontractors. Such damages encompass financial and non-financial losses, whether direct or indirect, including but not limited to trading losses, technical damages, and damages to hardware and/or software equipment.
   9. The Account and all underlying financial funds on it is held and safeguarded by a third party (the Broker) which provides you with its trading services and which maintains the Account. It is your sole responsibility and obligation to pay attention to all risks related to and/or associated with such third party and its services.
   10. The use of the Application may have a significantly negative impact on your life-style and your financial status.
   11. We highly advise you to regularly withdraw your profits. Although it’s possible to leave your funds invested in your trading Account to accumulate more profit, we strongly discourage this practice. The Application can cause substantial losses at any time, potentially wiping out your entire trading capital. Therefore, it is strongly recommended to withdraw your capital regularly to safeguard both your initial capital and the profits you’ve earned. Avoid leaving your capital in your trading Account for extended periods.
   12. It is strongly advised and explicitly required that you refrain from engaging in manual trading or any other form of trading within the same Account used for the Application. This paragraph includes trading on markets and instruments that are the same as those where the Application trades, as well as markets and instruments other than those where the Application trades. Such activities can result in conflicts and interventions between your trades and those executed by the Application on the same Account. Each trade reserves margin on the relevant trading account where the trade is open. Unexpected margin reservations from unrelated trades may lead to errors within the Application, bugs, and unforeseen behaviors. This can include the Application opening trades with larger amounts than intended or opening a large number of trades in an infinite loop. This can cause confusion, errors, or glitches within the Application, and it may potentially result in significant financial losses for which the Application and the xHive (and the xHive’s Subcontractors) assume no responsibility. The Application is designed to be the sole trader on the Account and should not coexist with other trades initiated by you manually or by any other trading algorithms, systems, or third parties. If you wish to trade manually or use another third-party automated trading system, you are required to create a separate independent trading account to avoid interference with the Application on the Account, or you are required to stop using the Application on the Account as long as there are open trades that are unrelated to the Application.
   13. Using the Application involves significant risks. You must understand and accept that there is a real possibility of substantial financial losses, potentially resulting in the complete loss of your entire account balance. By deciding to use the Application, you do so entirely on your own, fully aware that it works in a highly speculative environment with unpredictable outcomes. By using the Application, you acknowledge that you have been clearly informed of these risks, including all other relevant and associated direct and indirect risks. Therefore, you alone are responsible for any negative outcomes, damages, or losses (direct and indirect) you may experience while using the Application. The decision to use the Application is entirely voluntary and solely yours. Consequently, any consequences, whether positive or negative, are your sole responsibility.
5. DISCLAIMER
   1. You, and solely you, bear responsibility, whether financially or otherwise, for any losses, damages, or consequences arising from your use of the Application, irrespective of the involvement of any other party (including but not limited to the xHive and xHive’s Subcontractors). Such losses and damages may encompass both financial and non-financial losses, including trading losses, whether incurred directly or indirectly through your usage of the Application.
   2. The Application (and the xHive and xHive’s Subcontractors) does not take any responsibility for receiving or processing or storage of your deposits nor for a financial integrity and/or liquidity of your funds.
   3. The Application (and the xHive and xHive’s Subcontractors) does not take any responsibility for trading services provided to you by any third party (e.g., the Broker), and/or for any risks associated directly or indirectly with such services and/or with such third party(ies).
   4. The Application (and the xHive and xHive’s Subcontractors) provides no guarantee of comparability (incl. but not limited to equality, similarity, correlation) of a trading results, or a trading performance, or a success ratio etc. between two trading accounts where the Application was used within the same enviroment and/or within the same inputs and/or within the same input factors.
   5. All promotional materials that mention, describe, explain, or promote this Application (including, but not limited to, the website of the Application, the chatbot available on the website, social media, articles, and advertisements) (collectively referred to as “the Website”) and any information, descriptions, explanations, statistics, profit calculations, previous performance, statistics of other trading accounts, calculations, etc., are for informational purposes only, and their accuracy is not guaranteed.
   6. Under no circumstances should any information on the Website be construed as investment advice. Figures displayed on the Website, including monthly profits, success rates, profit ratios, past results, profits calculator, newsletter(s), or past profits, are provided for illustrative purposes only and are based on historical data and past performance. These figures and information do not guarantee or promise future results.
   7. Under no circumstances should any trades opened by the Application on the Account be considered as trades opened and/or anyhow operated by the xHive or xHive’s Subcontractors or any other third party. It is your sole decision to use and operate the Application, and therefore, all trades made by the Application are considered to be done by you and remain your sole responsibility.
   8. Neither the xHive, the xHive’s Subcontractors, nor any other third party takes any responsibility for operating the Application. Neither the xHive, the xHive’s Subcontractors, nor any other third party shall be considered operators of the Application.
6. OTHER PROVISIONS
   1. The Account is not an account of the Application or the xHive. It does not belong to the Application or the xHive, it is not a property of the Application or the xHive, and it is not provided to You, operated, or maintained by the Application or the xHive.
   2. The Application (including the xHive and xHive’s Subcontractors) does not directly receive, process, hold, or store your trading funds. Instead, your trading funds are directed to your private trading Account (the Account) hosted and managed by a third-party service provider (the Broker), which provides both the Account and trading services to you.
   3. You are expressly prohibited from copying, replicating, or otherwise transferring the trading instructions of the Application (a technique known as “copy-trading”), whether directly or indirectly, to any trading accounts.
   4. At no time are you entitled, nor do you possess any rights, to any codes associated with the Application (including but not limited to source codes and binary codes). Furthermore, the xHive is under no obligation to furnish you with such codes.
   5. You understand and accept the fact that certain components of the Application (such as specific detailed explanations of its internal trading strategy, risk-management, models etc) are not disclosed to you or the general public. These components constitute the proprietary know-how and trade secrets of the Application and the xHive.
   6. At no point should any payments made by you for the usage of the Application or its subscription be construed as a purchase of the Application, its copyrights, IP rights, or source or binary codes into your ownership.
   7. It is your free decision to use the Application with the Account and to provide the Application with trading access to the Account. Therefore, you acknowledge, agree, and accept full responsibility for all trades made by the Application on the Account, considering them to be made solely by you.
   8. When using the Application, you acknowledge and agree that you are solely responsible for its operation. It is your independent decision to use, pause, unpause, or deactivate the Application at any time. You confirm that you have not been coerced by anyone to use or not use the Application, and that your usage of the Application is entirely a result of your own free will and decision. Consequently, you assume full responsibility for all potential outcomes, whether directly or indirectly related to the use of the Application, including, but not limited to, any financial or other damages and losses.
7. PRICE, SUBSCRIPTIONS, SOFTWARE LICENSE FEE
   1. Users have to buy “GAS” in order to run the Application. Gas is calculated from profits (20% from profits). If the user runs out of GAS The Application will stop working.
   2. Net Profit refers exclusively to the total profits minus all losses from your live trading accounts during the specific time interval.
   3. You have the autonomy to decide whether to purchase more GAS or not.  Every user has the different wallet attached to his account and payments should be made to this specific account.
   4. The payment should be made with a specific network and in case of wrong funds transfer – it is your responsibility to write correct data.
   5. By subscribing, you acknowledge and agree that:
      1. Your payment is exclusively for the GAS, which will be used to run the Application.
      2. The GAS is a fair fee based solely on your financial outcomes from using the Application with live trading accounts.
      3. The subscription fee and the transaction are not related to profit-sharing or the provision of financial or investment services and cannot be construed as such.
      4. There are no additional prices or fees for using the Application beyond what is described in these terms.
      5. Once paid, the GAS  is nonrefundable and the transaction becomes irreversible.
      6. No fees will be charged for using the Application if the Net Profit is zero or negative.
   6. There are no fees associated with using the Application other than the GAS fee specified in these terms.
8. FINAL PROVISIONS
   1. In no event shall any party, including but not limited to the xHive and xHive’s Subcontractors, be held liable for any damages or financial losses (all direct and indirect) arising from the use of this Application. Your use of this Application is entirely at your own risk. By using this Application, you waive all rights to seek any compensation from any party for any kind of damage or loss, whether financial or otherwise, caused directly or indirectly by the use of this Application.
   2. You declare that you are fully familiar with trading on Crypto currencies markets and with all principles of such trading with the Application and you are using the Application at your own risk.
   3. You acknowledge that the use of this Application does not guarantee profits, and you declare that you do not expect to achieve profits from using the Application.
   4. You acknowledge that using this Application does not guarantee the elimination, reduction, or complete avoidance of financial losses, including the loss of your entire capital. You understand, accept and declare that you fully realize that using the Application may result in the loss of your entire trading capital in your Account.
   5. By using the Application, you acknowledge that you have been clearly informed of the risks (see Article 4. RISK WARNING), and that you fully understand and accept them.
   6. You declare that you have not made, and will not make, any significant financial or other decisions solely based on information provided by the Website.
   7. You declare that using the Application is your free choice and of your own free will, and, you declare that you can pause and/or stop using the Application (and/or deactivate and/or terminate the Application) at any time as you wish and freely decide.
   8. You declare that you will not interpret or consider the use of the Application as the provision of financial and/or investment services, or the provision of financial and/or investment advice, or the provision of asset management services, in any context or under any circumstances.
   9. You declare that using the Application does not violate and/or is not in conflict with any of your domestic law(s), and, it does not violate any law(s) and/or regulation(s) set by any authority(ies) in your country.
